1. Our agreement
Nightingale is operated by Four and Three Inc., doing business as Four & Three ("we", "us", or "our"). These Terms apply to the Nightingale app, nightingalebookkeeping.com, and related support and beta services (the "Services"). By using the Services, you agree to these Terms, our Privacy Policy, AI Acceptable Use Policy, and AI Risk Disclosure. If you do not agree, do not use the Services. You must be at least 18, or the age of majority where you live, to enter this agreement. If you use Nightingale for a business, you must have authority to act for it.
2. What Nightingale does
Nightingale helps you capture, organize, search, and summarize expenses, income, receipts, and related notes. AI, receipt recognition, and transcription can make mistakes. Check saved entries and compare summaries and exports against original records before relying on them. Nightingale is a recordkeeping tool, not an accountant, tax preparer, bank, payment service, or financial adviser. It does not file returns, move money, or determine your legal or tax obligations.
3. Your devices and records
You are responsible for securing your devices, passcodes, Apple Account, backups, and recovery secret, and for having permission to process information belonging to other people. Keep independent copies of records you must retain. We cannot recover your vault contents without the appropriate keys or recovery materials. Optional iCloud sync depends on your Apple Account, settings, connectivity, storage, and compatible software. Sync is not a substitute for a separate backup. You do not need a separate Nightingale cloud account for local recordkeeping.
4. Beta availability and purchases
Nightingale is in development. TestFlight builds may expire, change, contain errors, or become unavailable; features and compatibility can differ between builds. Do not rely on a beta as your only copy of important records. Apple’s TestFlight terms also apply. This website does not sell subscriptions or collect payments. Any future paid offering will display its price, billing interval, renewal, cancellation, and refund terms before purchase. Nothing here removes rights or refunds required by applicable law.
5. Your content and AI results
You retain your rights in your records, receipts, messages, and other material. We do not claim ownership of your financial data or AI-assisted entries. You authorize processing only as needed to provide the features you choose. The local vault is not uploaded to a Four & Three content server. If you deliberately send material to support, you give us the limited permission needed to investigate and respond. You must have the necessary rights and consent for that material. AI results may be inaccurate, incomplete, non-unique, or unsuitable for your purpose; you remain responsible for their use.
6. Acceptable use
Use the Services lawfully and follow our AI Acceptable Use Policy. Do not falsify records, facilitate fraud, evade tax obligations, infringe rights, process information without authority, attack the Services, or bypass safeguards. Reverse engineering restrictions apply only to the extent permitted by law. We may restrict beta distribution or support when reasonably necessary to address misuse, security risks, provider requirements, or legal obligations. This does not give us access to your encrypted vault.
7. Apple and other providers
Nightingale uses Apple frameworks for local AI, receipt recognition, speech, device security, and optional iCloud sync. Apple’s terms and privacy practices apply to Apple services, App Store distribution, and TestFlight. Website hosting and email providers support this website and our communications. Availability and behaviour of third-party services are outside our reasonable control. See our Privacy Policy for the information involved.
8. Our intellectual property
The Nightingale name, interface, software, and original materials belong to Four & Three or its licensors. Subject to these Terms and any applicable Apple distribution licence, you receive a limited, non-exclusive, non-transferable right to use the Services for their intended purpose. You receive no ownership of our branding or software. Third-party and open-source materials remain subject to their own licences.
9. Availability and ending use
We may change or discontinue features when reasonably necessary to operate, improve, or secure the Services. We do not guarantee uninterrupted availability, permanent device compatibility, or error-free results. You may stop using Nightingale at any time. Before deleting the app, export anything you need and follow the app’s erasure guidance if you want to remove its vault. Removing the app alone may not remove iCloud data, Keychain items, exported files, or system backups. We may end access to services we control for material breach, misuse, a security risk, or a legal requirement.
10. Disclaimers and liability
To the fullest extent permitted by law, the Services and AI results are provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not provide accounting, tax, investment, financial, or legal advice. Obtain qualified advice for professional decisions. To the fullest extent permitted by law, Four & Three and its directors, employees, agents, and suppliers are not liable for indirect, incidental, special, consequential, or punitive loss, or lost profits, revenue, data, or business opportunity. Where liability cannot be excluded but may lawfully be limited, our aggregate liability is limited to amounts you paid us for the Services in the 12 months before the event. These limits do not exclude liability or consumer rights that cannot lawfully be excluded or limited.
11. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Four & Three and its directors, employees, agents, and suppliers from third-party claims, losses, and reasonable legal costs arising from your unlawful or unauthorized use, violation of others’ rights, or material breach of these Terms. This does not require you to indemnify us for our own unlawful conduct or override mandatory consumer protections.
12. Governing law and updates
These Terms are governed by the laws of Newfoundland and Labrador and the federal laws of Canada applicable there. Subject to mandatory consumer rights, disputes will be brought in the courts of Newfoundland and Labrador. If a provision is unenforceable, the others remain effective; failure to enforce a provision is not a waiver. We may post updated Terms with a new effective date and provide further notice where required. Material changes apply prospectively. Continued use after they take effect means acceptance, subject to applicable law.
